CounselGrid is currently in BETA testing. The platform may contain bugs, incomplete features, or undergo significant changes. We recommend using caution when handling sensitive client matters and maintaining backup copies of important documents. By using the beta version, you acknowledge these limitations and agree to provide feedback to help us improve the platform.

These Terms of Service ("Terms") govern access to and use of the CounselGrid platform and related services (the "Services") provided by CounselGrid Private Limited and its affiliates ("CounselGrid", "we", "us", "our"). By accessing or using the Services, you agree to these Terms and our Privacy Policy.

1. Acceptance of Terms

By accessing or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms and all referenced policies, including our Privacy Policy and Acceptable Use Policy. If you do not agree, you must not access or use the Services.

2. Description of Services

CounselGrid is a legal operations and AI-assisted workflow platform intended to support legal professionals and legal teams. Features may include:

  • Case/matter intake, structuring, and case management
  • AI-assisted drafting, analysis, and research workflows
  • Document handling (upload, storage, processing) connected to matters
  • Collaboration tools, assignments, tasks, and audit trails
  • Optional integrations with third-party services (e.g., communications, payments)

We may modify, add, or remove features at any time. Some features are available only under specific plans or entitlements.

3. Accounts, Roles, and Access

  • Account registration: You must provide accurate, current information and keep it updated.
  • Credentials: You are responsible for safeguarding credentials and all activity under your account.
  • Tenant / firm administration: Firm administrators may configure user roles, entitlements, and access modes.
  • Suspension: We may suspend or restrict access to protect security, comply with law, or enforce these Terms.

4. Acceptable Use

You must comply with our Acceptable Use Policy. You agree not to:

  • Use the Services for unlawful activity, fraud, or harassment
  • Upload malicious code, attempt to exploit vulnerabilities, or bypass access controls
  • Scrape, mine, or extract data without permission
  • Infringe intellectual property rights or privacy rights of any person
  • Misrepresent identity or authority

5. Professional Responsibility (Advocates / Legal Professionals)

CounselGrid is a technology platform. We do not provide legal advice. You remain solely responsible for:

  • All professional judgments, advice, filings, and legal work product
  • Compliance with applicable bar rules, ethical duties, and professional conduct obligations
  • Maintaining confidentiality and privilege where applicable
  • Reviewing and validating any AI-assisted output before use

Advocates Act / Bar Council of India Rules: Nothing in these Terms is intended to limit or dilute an advocate’s statutory and ethical obligations, including duties of confidentiality, privilege, and professional conduct. You remain responsible for complying with those obligations at all times. CounselGrid may provide configurable controls (roles, access controls, audit logs) to support compliance, but responsibility remains with you.

6. Data, Privacy, and DPDP Act (India)

Our handling of personal data is described in our Privacy Policy. Where applicable, we support contractual terms for enterprise customers via the Data Processing Addendum.

DPDP Act: We implement reasonable security safeguards, support lawful processing, and provide mechanisms for data subject requests where applicable. The DPDP Act generally operates in addition to other applicable laws. If there is an apparent tension between a data protection request and advocate confidentiality/privilege, you should handle the matter in a legally compliant way (including considering privilege and professional duties) and seek professional advice where appropriate. We will support lawful compliance to the extent feasible (including administrative tools and enterprise controls).

7. Intellectual Property

  • Our IP: The Services, software, and platform content are owned by CounselGrid or licensors and protected by applicable laws.
  • Your content: You retain rights in content you submit. You grant CounselGrid a limited license to host, process, and display your content solely to provide the Services.
  • Feedback: If you provide feedback, you grant us the right to use it without restriction.

8. Subscriptions, Billing, and Usage Limits

  • Fees (if applicable) are billed in advance on a recurring basis unless otherwise agreed.
  • Plan features and usage limits may be enforced via technical controls.
  • Non-payment may result in suspension or downgrade.
  • Refunds are provided only as required by law or as expressly agreed in writing.

9. Availability, Support, and Changes

We aim for high availability but do not guarantee uninterrupted service. We may perform maintenance, updates, or changes at any time. Support levels may vary by plan.

10. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AI OUTPUTS MAY BE INACCURATE OR INCOMPLETE AND MUST BE INDEPENDENTLY VERIFIED.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COUNSELGRID WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICES OR THESE TERMS.

12. Indemnification

You agree to indemnify and hold harmless CounselGrid from claims, damages, and expenses arising from your use of the Services, your content, or your violation of these Terms or applicable law.

13. Termination

Either party may terminate access as permitted by law and contract. Upon termination, your rights to use the Services cease. We may retain data as described in our policies and applicable law.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of India, and courts having jurisdiction at Hyderabad, Telangana (or the registered office jurisdiction of CounselGrid) shall have jurisdiction, unless otherwise agreed in writing for enterprise customers.

15. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated through the Services or other reasonable means. Continued use after changes means you accept the updated Terms.
